Zeidler Group: Legal Services and Fund Services
The Zeidler Group provides Legal Services and Fund Services. This Legal Notice applies to the Zeidler Group website at www.zeidler.group and its subpages (the “Website”) and to the online platforms and portals made available by Zeidler Group entities (the “Platform”). Unless expressly stated otherwise, the Website and the Platform are owned and operated by Zeidler Legal Process Outsourcing Limited.
Legal Services
Legal Services are regulated legal services provided only by one or more of the separate Zeidler law firms identified below, subject to the applicable engagement terms and professional rules. These law firms advise clients on laws and regulations concerning investment funds and the asset management industry. Where permitted, a Zeidler law firm may advise on laws outside the jurisdiction in which it is established. “Zeidler Group” and “Zeidler Legal Services” are trading and descriptive names and are not themselves separate legal entities.
Each Zeidler entity is legally separate and operates in its own name. The entities are not partners in any partnership called “Zeidler”, “Zeidler Group”, “Zeidler Legal Services” or otherwise. The Zeidler entity identified in the relevant engagement letter, service agreement or other contractual documentation is responsible for the services provided under that agreement.
A reference on the Website or the Platform to “Zeidler”, “Zeidler Group”, “Zeidler Legal Services”, “we”, “us” or “our” means the relevant Zeidler entity or entities, as the context requires. It does not make one Zeidler entity responsible for the acts or omissions of another.
- In Germany, Zeidler Legal Services is Zeidler Legal Services Rechtsanwaltsgesellschaft mbH, a limited company with registered address and offices located at Bettinastrasse 48, 60325 Frankfurt am Main, Germany. It is registered with the commercial register in Germany under registration number HRB 87 231. Zeidler Legal Services Rechtsanwaltsgesellschaft mbH is authorised by the Frankfurt Bar (Rechtsanwaltskammer Frankfurt am Main).
- In Ireland, Zeidler Legal Services is Zeidler Legal Services LLP, a limited liability partnership with registered address and offices at 19-22 Lower Baggot Street, Dublin 2 (D02 X658), Ireland. The firm is regulated by the Law Society of Ireland. It is authorised as a limited liability partnership by the Legal Services Regulatory Authority under section 122 of the Legal Services Regulation Act 2015. Its partners are Arne Zeidler and Robert Boyle.
- In Luxembourg, Zeidler Legal Services is Zeidler Legal Services (Luxembourg) S.A., a public limited company (société anonyme) with registered address and offices at 21 rue du Puits Romain, L-8070 Bertrange, Luxembourg. It is registered with the Luxembourg Trade and Companies Register under number B232385. Zeidler Legal Services (Luxembourg) S.A. is authorised by the Luxembourg Bar (Le Conseil de l´Ordre des Avocats du Barreau de Luxembourg).
Fund Services
Fund Services are services that do not constitute regulated legal activity. They may be provided by a Zeidler law firm or another Zeidler entity, subject to applicable law and any service-specific authorisation or regulation. An authorisation or regulation applicable to a Fund Service or its provider does not make the provider a law firm or the service a Legal Service. The following Zeidler entities are not law firms and may provide Fund Services:
- In Ireland, Zeidler Legal Process Outsourcing Limited (“ZLPO”) is a limited company with registered address and offices at 19-22 Lower Baggot Street, Dublin 2 (D02 X658), Ireland. It is registered with the Companies Registration Office under company number 550051. ZLPO owns and operates the Website and the Platform unless expressly stated otherwise. ZLPO is not regulated, registered or authorised by the Law Society of Ireland or the Central Bank of Ireland and does not represent itself as so authorised.
- In the United Kingdom, Zeidler Legal Services (UK) Limited (“ZLS UK”) is a private limited company with registered address at 64 Southwark Bridge Road, London SE1 0AS, United Kingdom and offices at 154-160 Fleet Street, London EC4A 2DQ, United Kingdom. It is registered with Companies House under company number 09722833. ZLS UK is not authorised or regulated by the Solicitors Regulation Authority or the Financial Conduct Authority and does not represent itself as so authorised or regulated.
- In Switzerland, Zeidler Regulatory Services (Switzerland) AG (“ZRS CH”) is a public limited company (Aktiengesellschaft) with registered address and offices at Stadthausstrasse 14, 8400 Winterthur, Switzerland. Registered in Switzerland under registration number CHE-182.336.501. Zeidler Regulatory Services (Switzerland) AG is authorised by the Swiss Financial Market Supervisory Authority (“FINMA”) as a representative of foreign collective investment schemes pursuant to Article 13, para. 2, sub-para. h of the Swiss Federal Act on Collective Investment Schemes of 23 June 2006, as amended from time to time (“CISA”).
- In India, Zeidler Consultancy Services India Private Limited (“Zeidler India”), is a private limited company with registered address at B-1011, Kanakia Wallstreet, Chakala, Andheri East, Mumbai, Maharashtra 400059, India and offices at 02A126 WeWork Raheja Platinum, Sag Baug Road, Off Andheri-Kurla Rd, Marol, Andheri East, Mumbai, Maharashtra 400059, India. Registered with CIN number U74999MH2018FTC306475 in India. Zeidler Consultancy Services India Private Limited is not regulated, registered or authorised by the Bar Council of India, any State Bar Council or the Reserve Bank of India and does not represent itself as so authorised.
- In the United States, Zeidler Legal and Regulatory Technologies LLC (“ZLRT”) is a domestic limited liability company with registered address at 418 Broadway, Suite N, Albany, NY 12207, United States of America and offices at 55 Washington Street, Suite 653, Brooklyn, New York 11201, United States of America. It is registered in New York under DOS ID 6289503. ZLRT is not a law firm, is not authorised or regulated by any bar association in the United States and does not provide Legal Services or tax advice.
