Our practice
This is our core practice. We advise across the legal and regulatory issues that shape funds, managers and investment services businesses.
We advise sponsors and managers on the structuring, establishment and operation of private funds across private equity, private credit, real assets, infrastructure and venture capital. Our work covers closed ended, open ended, evergreen and semi liquid structures, from initial structuring and fundraising through to ongoing fund and sponsor matters. Practical experience before CSSF and the Central Bank of Ireland underpins every structure we form.
We advise on the structuring, establishment and ongoing operation of UCITS and other regulated liquid fund structures. This includes fund and domicile selection, constitutional and offering documentation, service provider arrangements, regulatory approvals and subsequent changes to the fund structure. We regularly engage with CSSF, the Central Bank of Ireland and BaFin on authorisation and ongoing supervisory matters.
We provide ongoing legal support throughout the life of the fund, advising on governance, documentation, investor matters and changes to the fund structure and its service provider arrangements.
We advise managers on the cross border distribution and marketing of UCITS and AIFs, including market access, investor eligibility, premarketing, notification requirements and national rules that apply alongside the European framework.
We advise asset managers, management companies, AIFMs, investment firms and other regulated businesses on the rules that govern their activities, from authorisation and conduct to governance, ESG, DORA and ongoing regulatory change.
