Navigating H2: Fee Updates in the UK Underscore the Importance of Regulatory Agility

As we move into the second half of 2025, regulatory fees and procedural updates remain a key focus for fund managers planning for efficient cross-border distribution. Understanding the cost of compliance is just as critical as navigating the legal frameworks themselves.
In this context, the UK’s Financial Conduct Authority (FCA) has issued important updates affecting both UCITS and AIF registrations. United Kingdom – OFR UCITS Registration: Fee Revisions in Effect
The FCA has confirmed updated application and annual fees under the Overseas Fund Regime (OFR) for UCITS funds, effective from 1 July 2025:
Application Fee
- Umbrella fund: Increased from GBP 5,440 to GBP 5,580
- Standalone UCITS: Increased from GBP 2,720 to GBP 2,790
Annual Fee
- Now ranges from GBP 40 to GBP 880, depending on the number of sub-funds
(previously GBP 80 to GBP 1,760)
United Kingdom – AIF Registration: National Private Placement Regime
For managers distributing Alternative Investment Funds (“AIFs”) under the National Private Placement Regime (“NPPR”), fee changes also take effect from 1 July 2025:
- Application Fee: GBP 280 per AIF
- Annual Fee: Increased to GBP 407
These updates should be considered in fund budgeting, especially for managers with multiple AIF structures or new launches planned in Q3–Q4.
